MileagePlus Exclusives Terms and Conditions.

Important: The following are the rules and other provisions (collectively, “Rules”) of MileagePlus Exclusives, ("MP Exclusives"). By participating in MP Exclusives and redeeming for Rewards (as defined below), participating Members (as defined in the in the rules of United’s MileagePlus Program (“Program Rules”)) indicate their respective acceptance of these Rules and agree to abide by them. Participation in MP Exclusives will be governed by these Rules, and it is each Member's responsibility to read and understand all of them. These Rules cannot be superseded or changed, except in writing from United Airlines or any of its affiliates (collectively, "United"). The most current Rules may be found on United.com and this is the final authority on the Rules. The Rules on United.com shall be deemed to supersede any prior or conflicting versions thereof.

General conditions

1. MP Exclusives is offered at the discretion of United and United has the right to terminate MP Exclusives, in whole or in part, or to change the Rules, benefits, conditions of participation, in whole or in part, at any time, with or without notice. Terms used but not defined herein shall have the meaning assigned in Program Rules. All Program Rules apply to a Member's participation in MP Exclusives and are incorporated by reference herein.

2. The Rules control your membership and participation in MP Exclusives and no covenants at law or in equity shall be implied or incorporated, and such covenants are expressly disclaimed. United has the sole right to interpret and apply the Rules. IN NO EVENT SHALL UNITED BE LIABLE TO A MEMBER, OR ANYONE ACTING ON THE MEMBER'S BEHALF, FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE OR PROFITS, ARISING OUT OF THE ACTS OR OMISSIONS OF UNITED IN CONNECTION WITH MP EXCLUSIVES, OR COSTS OR ATTORNEYS’ FEES. Any abuse of MP Exclusives or failure to follow the Rules, the Program Rules, United’s Contract of Carriage, United’s fare rules, any violation of law, rule, or regulation, any conduct detrimental to the interests of United, any fraudulent activity or attempted fraudulent activity, or any misrepresentation of any information furnished to United or its affiliates by any Member, anyone else acting on the Member's behalf, or any third party (collectively, “Prohibited Conduct”), may result in United exercising any one or more of the following remedies (“United’s Remedies”), with or without notice to the Member: (a) termination or suspension from MP Exclusives, (b) exercising any of United’s Remedies under the Program Rules or United’s Contract Of Carriage, (c) the removal or cancellation by United of any or all accrued mileage, (d) the confiscation of any Rewards, award tickets, denial of boarding with respect to any award ticket holders or, at United's discretion, completion of the travel only upon payment of an applicable revenue fare (and applicable taxes and fees), or (e) the loss of other MP Exclusives or MileagePlus benefits.

3. All calculations made in connection with MP Exclusives will be made by United in its discretion and such calculations will be considered final.

4. Neither United’s waiver or consent to a deviation from the Rules nor any course of dealing shall be construed as a waiver by United of any subsequent violation of the Rules and United may invoke United’s Remedies for a violation of the Rules despite any such prior waiver or consent.

Definitions

"Auction" or "Bid Now" - A transaction type that allows Members the possibility to use Miles for Rewards by bidding against other Members.

"Bid" – the number of Miles the Member offers to pay upon winning an Auction item.

"Debit of Miles" or "Debited" - The deduction of Miles from your MileagePlus account in exchange for a Reward.

"Experience" – A Reward that requires a Member to participate in, attend or otherwise take advantage of a particular service, experience or event and does not require shipping.

"Instant Redemption" or "Redeem Now" - A transaction type that allows Members to redeem Miles instantly for Rewards

"Merchandise" - A Reward that requires United or a Provider to ship a physical items to a Member

“MileagePlus Exclusives Site” – means the site hosted and maintained by United or a third-party where Members can participate in MP Exclusives.

"Provider" - A Partner who has agreed to create an Experience or offer Merchandise under their exclusive control for redemption through MP Exclusives

"Reward" – An Experience, Merchandise or other reward identified by United from time to time that is obtained either through an Auction, Instant Redemption or other transaction identified by United from time to time in which a Member uses Miles to bid and/or pay for a such Experience, Merchandise or other reward identified by United from time to time.

1. Access to the MileagePlus Exclusives Site

1.1. MileagePlus Exclusives site

The use of the Reward area of the MileagePlus Exclusives Site is exclusively for Members who have the capacity to enter into legally binding agreements under applicable law. The rules relating to the use of the Reward area of the MileagePlus Exclusives Site are set out below.

1.2. Acceptance of Terms and Conditions

By accessing this site and making transactions through the MP Exclusives Site, specifically by clicking the "I AGREE" and similar buttons, you expressly indicate your acknowledgment and acceptance of these Rules and the Program , which are expressly incorporated herein. United has the sole right to interpret and apply these Rules and the Program Rules.

1.3. Acceptance of Electronic Communication

You hereby consent to receive electronic communications, including Reward redemption confirmation, from United and/or its affiliates or services provider(s) ("Services Provider") and the independent partners associated with this site, including all Providers, whether addressed to the email address associated with your MileagePlus account or other email address that you provide. You acknowledge and agree that any communication via email or postings on the MileagePlus Exclusives site satisfies any legal requirements that such communications be made in writing.

1.4. Rewards

MileagePlus reserves the right to establish eligibility criteria for redemption of Rewards. The Rewards consist of any goods or services redeemed by you, by redeeming or bidding with Miles. Such Rewards may be fulfilled or distributed by Partners. MileagePlus, its subsidiaries, affiliates and agents are not responsible for any products and services of other participating companies and Partners. MileagePlus reserves the right to correct any typographical errors, including but not limited to with respect to any price or minimum bid, and to make changes, corrections or improvements to any Reward transaction including without limitation the description of any Auction, Instant Redemption, Merchandise or Experience, or other Reward at any time without notice. MileagePlus further reserves the right to update, remove or introduce new transaction types for availability of Rewards subject to any applicable rules.

1.5. Relationship between You and Provider

Every time you redeem, by Auction, Instant Redemption or otherwise, a Reward via the MileagePlus Exclusives Site, you enter into an agreement with MileagePlus and the respective Provider to redeem said Reward in exchange for the stated amount of Miles. You agree and acknowledge that the Provider may provide additional terms and conditions of the Reward and such terms and conditions will apply to any Reward redemption via the MileagePlus Exclusives Site. You agree to comply with and be subject to any such terms and conditions, including but not limited to, rules and restrictions on availability and eligibility, shipment and delivery terms, notification of defects, return and refund policies, money back guarantees and claim for damages. MileagePlus strongly recommends that you check the terms and conditions of each Reward Provider prior to bidding on or purchasing any such Reward. It is your responsibility to adhere to those terms and conditions and be aware of any special circumstances that apply prior to redeeming for any Reward. If you are deemed, in United’s sole discretion, ineligible or unavailable for any Reward that you have redeemed your Miles will not be refunded and neither United nor Provider shall be liable to you.

1.6. Use of MileagePlus Exclusives Site

You may only use the MileagePlus Exclusives Site to make non-commercial, legitimate Reward redemptions and shall not use the site for any other purposes, including making any speculative, false or fraudulent Reward redemptions. Rewards are subject to availability at the time of booking. By accessing and/or using the MileagePlus Exclusives Site, you authorize United and its affiliates to consider any person using your information a legitimate user. Members/legal guardians must ensure that the MileagePlus log-in details are not used illegally. MileagePlus and its affiliates bear no responsibility for any consequences of illegal use of the personal details. MileagePlus and its affiliates reserve the right to terminate membership in the Program accordance with the Program Rules.

For questions related to Rewards redeemed through the MileagePlus Exclusives Site, or for general questions please contact customer support using the “Contact Us” link on the MileagePlus Exclusives Site.

3. Redemption

United shall establish the amount, structure, availability, process and other criteria for participation in MP Exclusives (including Reward redemption), all of which are subject to modification, cancellation or limitation at United’s discretion, with or without notice, and all applicable Program Rules related to redemption of awards shall apply to Rewards redeemed through MP Exclusives.

3.1. Instant Redemption or Redeem Now

Through this redemption type, you have the possibility to instantly redeem Rewards in exchange for Miles. For each transaction, the use of at least one Mile is mandatory. Offer and pricing are subject to change or cancellation without notice. Other restrictions may apply. United reserves the right to substitute items of equal or greater value. United also reserves the right to reverse a Reward redemption without notice and to credit the Miles used for such redemption back to your account.

Rewards offered for instant redemption are limited in quantity, and orders are subject to availability. You will be notified if the Reward you have selected is not available. Some Rewards that are not available will offer a waitlist. Members on the waitlist will be ranked in order based upon the time of such Member’s waitlist request. Such times will be determined solely by United. Should availability arise, waitlisted Members will be contacted in order via email requiring the Member to confirm interest in redeeming the applicable Reward and to complete such redemption within a limited amount of time. If such redemption is not completed within the required time, the Member will forfeit the opportunity to redeem such Reward, and it will be offered to the next Member on the waitlist. Waitlisted Members are not guaranteed the ability to redeem any Reward.

3.2. Auctions or Bid Now

Through this redemption type, you have the possibility to redeem for Rewards by bidding Miles by Auction. Decisions as to what constitutes a qualifying bid or a winning bid, as well as exceptions, will be made at the sole discretion of United, its affiliates or a Services Provider. Although these rules refer to the term "Auction", it is important to note that neither United nor any Services Provider is acting as an "Auctioneer" or is conducting an “Auction” under the law. Instead, MileagePlus allows you to bid for and redeem Rewards offered by Providers in the MileagePlus Exclusives Site using Miles in the format referred to here as an "Auction". For specific bidding rules, and redemption information, see further below.

3.3 Availability after Redemption

Availability of Rewards made available through the MileagePlus Exclusives Site are subject to change, and if any item becomes unavailable for any reason after redemption, MileagePlus reserves the right, at its discretion, to substitute a substantially similar item or refund Miles. If the performance of any service or obligation of MileagePlus or any Provider making any Reward available through the MileagePlus Exclusives Site, including with respect to any live experience, is prevented, delayed, restricted or interfered with by events or causes beyond their control, MileagePlus or the applicable Provider shall be excused from the performance to the extent of the prevention, delay, restriction, or interference. You agree that if any of these prevent you from participating in a live experience, MileagePlus or the applicable Provider is not obligated to provide or recreate such live experience, and MileagePlus reserves the right, at its discretion, to substitute a substantially similar item or refund Miles paid by the Member.

3.4 Sale of Rewards

Rewards may not be re-sold or bartered. The sale or barter or attempted sale or barter of any Rewards is expressly prohibited. Any Rewards transferred, in violation of this rule may be confiscated or canceled. Notwithstanding the foregoing, Rewards may be transferred or donated with the prior consent of United.

3.5 Travel Documents

If a Reward includes travel, the Member is responsible for obtaining all necessary travel documentation, including but not limited to driver’s license, passport and visas, as applicable.

4 Payment

4.1. Payment with Miles

You may redeem a Reward for the number of Miles indicated for each Reward on the MileagePlus Exclusives Site, provided that you have sufficient Miles available in your account at the time of redemption. Miles that you may have accrued but that are not yet credited to your account at the time you place the redemption are not available for redemption or Bidding in the Auctions. Miles will be Debited from your account at the completion of the Auction if you are the winner. In the case of an Instant Redemption offer, miles will be Debited immediately upon redemption. In the event you have insufficient Miles in your account at the time an Auction closes the Reward will be awarded to the next highest bidder.

4.2. Conversion into Cash

The conversion of Miles into a cash amount and the payment of such cash amount to you or any similar transactions are not possible, not even in case of any return of a Reward or the termination of MileagePlus membership.

4.3. Reclaim of Miles

In the event that Miles have not been properly Debited from your account at the time of redemption, Miles can be Debited by MileagePlus at any time.

5. Shipping, Taxes and Return or Refunds

5.1. Shipping

Merchandise will be sent only to the address associated with the Member's MileagePlus account or to such other address as explicitly provided with a specific redemption order. Delivery dates cannot be guaranteed and MileagePlus and Providers assume no liability for failed deliveries caused by incorrect addresses, absence of the recipient, customs issues, force majeure or other reasons not under the reasonable control of MileagePlus or the Provider. Merchandise will not be delivered to P.O., A.P.O. or F.P.O. boxes. Merchandise can be shipped only to addresses in the 48 contiguous United States with limited exceptions. Addresses cannot be changed after the order has been made. Orders may be shipped outside of the 48 contiguous United States to Alaska or Hawaii on an exception only basis. Orders will not be shipped internationally. Items ordered at the same time may arrive separately. The cost of regular shipping and handling is included in the cost for each item. Merchandise is expected to be delivered within 3-4 weeks of placing the order unless otherwise noted.

5.2. Fees and Taxes

The prices on the MileagePlus Exclusives Site include all applicable sales taxes and shipping and handling fees unless otherwise specified.

5.3. Refunds and Returns

Miles are not refundable once redeemed. Merchandise may not be returned or exchanged unless proven to be damaged or defective, and must be returned within 30 days of delivery. Problems or complaints with Merchandise should be directed to customer service as described below under "Merchandise Return Policy".

Merchandise Return Policy

For all returns or exchanges of Merchandise that you can prove is damaged or defective, please contact customer support so that MileagePlus may assist you in contacting the appropriate Provider. MileagePlus is not responsible for the return or exchange of any Merchandise. All issues with damaged or defective Merchandise will be the responsibility of the Provider. Any refunds or exchanges will be at the discretion of the Provider.

Experience Return/Refund Policy

All Experiences are non-refundable. If you are scheduled to attend an Experience and do not, you will forfeit your Miles and will not have them refunded or your Experience rescheduled. If you redeem an Experience for a particular date and you are unable to attend, you may send someone in your place, subject to all Experience applicable terms and conditions and provided that they meet all eligibility requirements for that particular Experience and you have contacted MileagePlus in advance regarding any substitution..

6. Auctions

6.1. Minimum Bid

For each specific Auction Reward you wish to bid for, you must place the required minimum bid in Miles.

6.2. Maximum Bid

For Auctions where you can place a maximum bid, the system will place bidding iteration on your behalf until your maximum bid is reached. If you have placed a maximum bid (higher than the required minimum bid), the system will automatically increase the bid on your behalf, using only as much of your maximum bid as is required to keep you in the winning lot. The maximum bid is the highest price in Miles you are willing to pay for the item.

6.3. Bidding Details

Multiple quantities of the same Experience may be available in the same Auction listing. For instance, there may be several packages of the same Experience that are auctioned off simultaneously. Although multiple packages are available, you may only bid for one package.

6.4. Bid Reserve

Some Rewards may have a reserve price that must be met before it is eligible for sale that may not be made public. If the reserve price is not met by the end of the Auction and you are the highest bidder, you will be notified that the reserve price was not met, the Reward will not be redeemed, and your Miles will be refunded to you if necessary.

6.5 Bidding Completion

A bid is considered "completed" once you see the respective confirmation page. In case the registration for a specific bid is interrupted and the respective confirmation page is not displayed, you must resubmit your bid after checking My Account. In case a bid is registered after the bidding period has elapsed, such bid is not eligible. Variations in your computer and network processing speeds may (i) result in you not being able to view the latest bids and/ or (ii) cause your bids made within 30 seconds of the auction closing not to register with our system prior to the bid closing time and as such will not be considered a bid. Once a bid is completed, you cannot retract or withdraw the bid nor can the bid be decreased. Any bids placed in the last minute before an auction ends will extend the auction by an additional one minute.

6.6. Winning Bid

Should your bid be determined the winning bid, this will constitute a legally binding contract between you and MileagePlus and you will receive an email notification from MileagePlus. Your Miles will be Debited automatically from your account and you will need to provide your shipping details (if necessary) for processing on the MileagePlus Exclusives Site. The winner explicitly agrees that the number of Miles redeemed in the respective Auction can be displayed in the MileagePlus Exclusives site for a certain period following the Auction. If you are notified in error that your bid is a winning bid, no contract will have been formed with respect to the Reward, MileagePlus will credit back to your account any Miles Debited in connection with the Auction, and MileagePlus will subsequently determine the winning bid in its discretion.

6.7. Ties

In the event of a tie between two or more bids by different members at the close of an Auction, the earliest bid will be determined to be the winner (based on the timestamp of the respective bids). During the Auction, the Member who placed the losing bid will be notified that the Member’s mileage amount has been out-bid and has an opportunity to increase the maximum bid.

6.8. Ineligible Winner

Should it be determined that the winner was not eligible to participate, had insufficient miles in his or her account at the time the auction closed or was expelled from participating in the Auction for any reason in the sole discretion of MileagePlus, the next highest bidder will be deemed to be the winner. In the event that the winner is not eligible to participate in the Auction, the second highest bidder will be declared the winner and the miles that bidder bid will be automatically deducted from their account and so forth until an eligible winner is found.

6.9. Legal Compliance

By participating in an Auction via the MileagePlus Exclusives Site, you confirm that you are not breaching any laws in your country of residence regarding the legality of participating in such Auction. MileagePlus, its affiliates and the Provider will not be held responsible if you enter into an Auction unlawfully. If in any doubt you should check with the relevant authorities in your country of residence.

7. Privacy Matters

Privacy Policy

1. By participating in MP Exclusives, Members authorize United to collect, maintain, use, process and share their information, including, without limitation, names, email addresses, physical addresses, account and other information in accordance with United’s Privacy Policy. You can learn more about how United collects, maintains, uses, processes and shares your information in United’s Privacy Policy which may be viewed at http://www.united.com/web/en-US/content/privacy.aspx. United's Privacy Policy is merely a statement of administrative protocol; it is not a contract, nor does it create any contractual or legal rights. United’s Privacy Policy is not made, or intended to be made, a part of these Rules.

7.2 Publicity License Grant

By purchasing, using or participating in any Reward, you grant to MileagePlus and the Provider the irrevocable and unrestricted right and permission to photograph and videotape you and to use your name, photograph, image, voice, likeness, and any comments in connection with any Reward and any Reward transaction including without limitation Auction and Instant Redemption, in whole or in part, and to use, edit, present, transmit, and display the same, without restriction as to changes or transformations, in connection with its business, in all forms and media now known or hereafter developed, without payment of additional royalties.

8. Limitation of Liability

8.1. Party

When redeeming Miles for Rewards through the MileagePlus Exclusives Site, you enter into an agreement with MileagePlus and the Providers. You expressly acknowledge and agree that Providers are independent contractors and not employees or agents of MileagePlus, its affiliates or the Services Provider. Neither MileagePlus, nor its affiliates nor its Services Provider is liable for the acts, errors, omissions, representations, warranties or negligence of the Providers, or any third party. Furthermore, as far as permissible by applicable law, MileagePlus and its affiliates hereby disclaim any liability, whether based on contract, tort, strict liability or otherwise, including without limitation liability for any direct, punitive, special, consequential, incidental or indirect damages, or attorney’s fees arising in connection with any Reward provided by any Provider, or related third party through the MileagePlus Exclusives Site, including without limitation liability for any act, error, omission, death, injury, loss, accident, delay or irregularity which may be incurred through the fault, negligence or otherwise, of such Provider or other third party and you hereby expressly exonerate United and its affiliates from any liability with respect to the same. To the extent permitted by law, MileagePlus, its affiliates xclude all liability to you and to any other person participating in or using any Reward respect of any negligence, willful misconduct, poor service or other breach of obligation arising out of the provision or failure to provide the services by or on behalf of a partner.

8.2. No Warranty

MileagePlus, its affiliates, the Providers and the Services Provider do not warrant or represent that the Content on the MileagePlus Exclusives Site or any website linked to the MileagePlus Exclusives Site is complete or up-to-date. United, its affiliates, the Providers and the Services Provider are under no obligation to update any Content on the MileagePlus Exclusives Site. MileagePlus may change the Content on or make improvement or changes of the MileagePlus Exclusives Site at any time without notice. The information, Rewards, and descriptions of Rewards published on the MileagePlus Exclusives Site may include inaccuracies or typographical errors, and United and its affiliates, Provider and Service Provider specifically disclaim any liability for such inaccuracies and errors.

8.3. Limitation of Liability

You agree that United and its affiliates, the Providers, the Service Provider and any of their respective officers, directors, employers, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential, incidental or indirect damages (including without limitation lost profits, cost of procuring substitute service, lost opportunity and attorney’s fees) arising out of or in connection with the use of the MileagePlus Exclusives Site, or with the delay or inability to use the MileagePlus Exclusives Site even if United, the Providers or the Service Provider is made aware of the possibility of such damages. This limitation on liability includes, but is not limited to, the transmission of any virus which may infect your equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems, unauthorized access, theft, operator errors, strike or other labor problems or any force majeure. United cannot and does not guarantee continuous, uninterrupted or secure access to the MileagePlus Exclusives Site.

9. Waiver of Liability

You agree that your participation and the participation of others invited by you in any Reward is entirely at your own will. You and any participant invited by you to participate in any Reward provided by aProvider further agree to assume all risks and waive any and all claim against United and the Providers for any direct, punitive, special, consequential, incidental or indirect damages or attorney’s fees suffered by you in connection with your participation in any Reward provided by a Provider, including without limitation liability for any act, error, omission, injury, loss, accident, delay or irregularity which may be incurred through the fault, negligence or otherwise, and you hereby expressly exonerate United and its affiliates and the Providers from any liability with respect to the same. To the extent permitted by law, United and its affiliates and Providers exclude all liability to you or other person of whatsoever nature in respect of any negligence, willful misconduct, poor service or other breach of obligation arising out of the provision or failure to provide any services as a part of any Reward.

10. Copy Rights and Trade Marks

The trademarks, logos and service marks ("Marks") displayed on the MileagePlus Exclusives Site are the property of United, , its affiliates, the Providers or other Partners or third-parties, as the case may be. You are prohibited from using any Marks for any purpose. All information and Content including any software programs available on or through the MileagePlus Exclusives Site ("Content") is protected by copyright. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating works or using any Content available on or through the MileagePlus Exclusives Site for commercial or public purposes. You take note that one or more patents apply to the features and services accessible via the MileagePlus Exclusives Site.

Non-U.S. Laws

Participation in MP Exclusives may be prohibited or restricted by the laws pursuant to some U.S. state and local laws and non-U.S. countries. Nothing in these Rules should be read to override or circumvent any such laws. United may exercise any one or more of United’s Remedies, with or without notice to the Members, in the event MP Exclusives, or participation in any way in the MileagePlus Program, violates laws.
